Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Hallie, operated by Arc Foundry, Inc. (“Company,” “we,” “us”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Hallie is an AI-powered conversational companion delivered via text message (iMessage and Google Messages). Hallie maintains memory of your conversations to provide personalized responses and may initiate follow-up messages based on prior interactions. Hallie is not a human. All responses are generated by artificial intelligence.

2. Account registration

To use Hallie, you must verify your phone number and complete our onboarding process. You agree to provide accurate information and are responsible for all activity under your account. Accounts are personal and may not be shared with or transferred to others.

3. Subscription and payment

Hallie is offered on a subscription basis with monthly and annual billing options. We may offer a free trial period; you will be notified before any trial expires. Subscriptions renew automatically at the end of each billing cycle unless canceled. Payment is processed through a third-party payment provider, and you authorize recurring charges to your selected payment method.

4. Cancellation and refunds

You may cancel your subscription at any time using the cancellation link provided in your confirmation email. Upon cancellation, you will retain access through the remainder of your current billing period and will not be charged again. All fees are non-refundable except where required by applicable law.

5. No medical or professional advice

Hallie is not a licensed therapist, counselor, or healthcare provider. The Service does not constitute medical, psychological, or professional advice of any kind. Hallie is intended for conversational companionship only. If you are experiencing a crisis or mental health emergency, please contact the 988 Suicide & Crisis Lifeline (call or text 988) or your local emergency services.

6. Acceptable use

You agree to use Hallie for lawful, personal, non-commercial purposes only. You may not use the Service to generate content that is unlawful, harmful, abusive, or that infringes upon the rights of others. We reserve the right to suspend or terminate any account that violates these Terms at our sole discretion.

7. Intellectual property

All rights, title, and interest in the Service — including its name, design, software, and underlying technology — are owned by Arc Foundry, Inc. You retain ownership of the content you provide through your conversations. By using the Service, you grant us a limited, non-exclusive license to use your content solely as necessary to operate, maintain, and improve the Service for you.

8. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or available at all times.

9. Limitation of liability

To the maximum extent permitted by applicable law, Arc Foundry, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our aggregate liability for all claims related to the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, upon notice to you. You may terminate your account at any time by canceling your subscription and ceasing use of the Service. Upon termination, your right to use the Service will immediately cease.

11. Modifications to these Terms

We may revise these Terms at any time by posting an updated version. If we make material changes, we will notify you via text message or email. Your continued use of the Service following any changes constitutes acceptance of the revised Terms.

12. Governing law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
